Acceptance of Terms
Stratum Labs, Inc. ("Stratum" or "we") provides the Stratum Predict™ platform, Signal Fabric Engine™, related beta features, and early access programs (collectively, the "Services"). By accessing or using the Services you agree to these Terms of Service and any additional policies referenced herein.
If you are using the Services on behalf of an organization, you represent that you are authorized to accept these terms on behalf of that organization. You agree that your use of the Services will comply with all applicable laws, regulations, and industry standards.
Eligibility and Accounts
The Services are designed for business users evaluating Stratum Predict™ and related tooling. You must be at least 18 years old and able to form a binding contract to use the Services. We may approve or decline access requests at our sole discretion, particularly for private beta cohorts and design partner engagements.
You are responsible for safeguarding any account credentials and for all activities that occur under your account. Notify us immediately at hello@stratumlabs.app if you suspect unauthorized use of your credentials or account.
Use of the Services
You may use the Services solely for internal business evaluation, testing, and commercial planning in connection with Stratum offerings. You must not reverse engineer, decompile, or attempt to extract proprietary models, datasets, or source code, nor may you use the Services to build or enhance a competing product.
We may suspend or limit your access if we believe you are misusing the Services, jeopardizing system integrity, or breaching these Terms. We reserve the right to update features, interfaces, and availability without prior notice.
- Do not introduce malicious code or interfere with the stability or security of the Services.
- Do not use outputs to infringe the rights of others or to process unlawful or highly regulated data without our written consent.
- Respect any usage limits, rate controls, or beta constraints communicated by the Stratum team.
Data and Privacy
You retain ownership of all business data, configurations, and content you submit to the Services ("Customer Data"). You grant Stratum a limited license to host, process, and analyze Customer Data solely to provide and improve the Services, in accordance with our Privacy Policy and any separate data processing agreements.
You are responsible for ensuring that you have the necessary rights and permissions to share Customer Data with Stratum. If you provide personal data, you confirm that you have obtained all required consents and will comply with applicable privacy regulations.
Confidentiality and Security
Both parties may exchange non-public or proprietary information in connection with the Services ("Confidential Information"). Each party agrees to protect the other party's Confidential Information with the same degree of care it uses to protect its own and to use it only for purposes of the business relationship. This obligation does not apply to information that is independently developed, becomes public through no fault of the recipient, or is disclosed under legal compulsion.
We implement industry-standard safeguards to secure the Services, but no online service is completely secure. You acknowledge that you submit data at your own risk and agree to notify us promptly of any suspected security vulnerability or incident.
Intellectual Property
All rights, title, and interest in and to the Services, including Stratum Predict™, the Signal Fabric Engine™, generative models, documentation, logos, and design assets, remain the exclusive property of Stratum and its licensors. Except for the limited rights expressly granted in these Terms, no other licenses or rights are granted by implication or otherwise.
Feedback, suggestions, or improvement ideas you choose to share with us may be used to enhance the Services without obligation or compensation to you. We appreciate contributions that help us calibrate new experiments and workflows.
Fees and Beta Programs
Some functionality may be provided at no charge during private beta programs. If we offer paid subscriptions, pilot fees, or implementation services, we will provide a separate order form or statement of work that incorporates these Terms by reference.
Beta features are provided "as is" for evaluation purposes. Insights derived from beta use may be reset or removed as we evolve the platform. We are not obligated to provide production-level support for beta features.
Disclaimers and Limitation of Liability
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. STRATUM DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, STRATUM WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO STRATUM FOR THE SERVICES DURING THE SIX MONTHS PRECEDING THE CLAIM.
Indemnification
You agree to defend, indemnify, and hold harmless Stratum, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your infringement of any third-party rights.
Termination
Either party may terminate access to the Services at any time for convenience by providing written notice. We may terminate or suspend your access immediately if you breach these Terms or if continued access poses a risk to the Services or other users.
Upon termination, you must stop using the Services and, if requested, certify deletion of any Confidential Information or access credentials. Sections that by their nature should survive termination (including confidentiality, intellectual property, indemnification, and limitation of liability) will continue in effect.
Governing Law and Disputes
These Terms are governed by the laws of the State of California, excluding its conflict of law rules. Any dispute arising from the Services or these Terms will be resolved in the state or federal courts located in San Francisco, California, and both parties consent to the personal jurisdiction of those courts.
Before initiating formal proceedings, the parties agree to attempt to resolve disputes informally by notifying the other party in writing and allowing at least 30 days to engage in good-faith discussions.
Changes to These Terms
We may update these Terms from time to time to reflect product evolution, regulatory requirements, or business needs. If we make material changes, we will provide notice through the Services or via email. Continued use of the Services after an update constitutes acceptance of the revised Terms.
